Terms of Service

These Terms govern use of services operated by HALO Alpha, LLC through Avnamic, Aircraft Data Exchange (ADX), AvShopper, and related experiences. By using a service, you agree to these Terms.

Services and eligibility

Avnamic develops aviation data products, marketplaces, and technology services. You must be legally able to enter into these Terms and provide accurate information. Availability and features may change, and pre-launch products are not available for purchase until expressly activated.

Accounts and guest purchases

You are responsible for safeguarding account credentials and for activity authorized through your account. Some products may permit guest purchase. A purchase email, secure delivery mechanism, or other required proof—not current-email equality alone—may control later access or account attachment.

ADX Aircraft History Reports

An ADX Aircraft History Report compiles available records, historical observations, marketplace information, and other relevant data for research. Coverage varies by aircraft. Information may be incomplete, delayed, inaccurate, or unavailable.

Reports are not appraisals, title or lien opinions, legal opinions, mechanical inspections, airworthiness determinations, or guarantees of aircraft condition or history. They do not replace logbook review, inspections, title work, records requests, or qualified professional advice.

Each purchased report is a historical snapshot generated for that transaction. Purchase does not promise continuous updates or access to a future version.

Pricing, promotions, and report credits

Displayed prices and availability control when checkout is active. Eligible promotions may reduce the purchase price subject to their stated limits and may not be stacked unless expressly allowed. Five-Report Packs, when available, provide five non-transferable credits with no cash value. Each credit may be used once for an eligible report, and unused credits expire 12 months from original purchase.

Payments, taxes, and digital delivery

Payments may be processed by a third-party provider such as Stripe. You authorize applicable charges and must provide accurate transaction information. Taxes are determined using the transaction-time information required by the service. Digital products are delivered through the applicable secure account or access experience.

Refunds

Refunds and delivery issues are governed by our Refund & Digital Delivery Policy. Nothing in these Terms limits rights that cannot be waived under applicable law.

Marketplace listings and history

Users and authorized organizations may be permitted to submit aircraft listings. Publishers are responsible for authorization, accuracy, legality, and keeping information current. We may review, reject, pause, correct the presentation of, or remove listings as needed to enforce service rules or protect users.

Listings may be versioned or retained as historical observations. Editing or ending a listing does not necessarily erase its prior factual or audit history.

Comments and user content

You retain rights you hold in content you submit. You grant HALO Alpha, LLC a nonexclusive, worldwide license to host, reproduce, format, display, and use that content as needed to operate, secure, and improve the services. You represent that you have the rights required to submit it. Public content may be visible to others.

Marketplace transaction limitations

Unless expressly stated for a specific service, Avnamic and AvShopper provide information and marketplace tools and are not the buyer, seller, broker, escrow agent, inspector, appraiser, insurer, lender, or closing agent in aircraft transactions between users. Users are responsible for their own diligence and agreements.

Professional and organization services

Professional services may require a verified, active organization, an authorized role, a qualifying subscription or entitlement, and applicable usage limits. Organization administrators are responsible for authorized users and access.

Referral programs

Referral participation is subject to the applicable program rules, eligibility, attribution, validation, fulfillment, refund, and abuse controls. A referral does not create ownership, agency, employment, or authority to bind HALO Alpha, LLC.

Acceptable use

You may not misuse the services; probe or bypass security or access controls; use credentials belonging to another person; interfere with operation; introduce malicious code; scrape where prohibited; violate law or third-party rights; submit deceptive content; or use data to facilitate fraud, discrimination, or unsafe conduct.

Intellectual property

The services, software, design, brands, and provider-created content are owned by HALO Alpha, LLC or its licensors and are protected by applicable law. These Terms grant only the limited right to use the services as provided.

Third-party services

Third-party services may have separate terms and policies. HALO Alpha, LLC is not responsible for third-party services outside its control.

Availability and changes

We may change, suspend, or discontinue features; impose reasonable limits; or perform maintenance. We do not guarantee uninterrupted or error-free availability.

Disclaimers

To the fullest extent permitted by law, services and information are provided “as is” and “as available.” HALO Alpha, LLC disclaims warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, HALO Alpha, LLC and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity arising from the services. Liability that cannot legally be excluded remains subject to applicable law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HALO Alpha, LLC and its personnel from claims, damages, and expenses arising from your unlawful use, your content, your transactions with other users, or your violation of these Terms or third-party rights.

Suspension and termination

We may limit, suspend, or terminate access when reasonably necessary for security, legal compliance, nonpayment, abuse prevention, or enforcement of these Terms. Provisions that by nature should survive will remain effective.

Amendments

We may update these Terms. The effective date identifies the current version. Continued use after an update takes effect constitutes acceptance where permitted by law.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Severability, no waiver, and entire agreement

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms and incorporated policies are the entire agreement concerning their subject matter.
